                                      ——直接特许与分特许的比较选择
 
Whether your project falls into the category of Product and Trademark Franchise or Business Format Franchise, you have to face the choice between direct franchise and sub-franchise when undertaking franchise business.
不论你的项目是属于商品商标提供型特许经营(Product and Trademark Franchise),还是属于经营方式提供型特许经营(Business Format Franchise),在进行特许时,都存在直接特许或分特许两种方式的选择。
Direct Franchise is the franchise in which the franchisor grant the franchise directly to every independent franchisee, in return, the franchisees owing the franchise shall open stores, conduct business and undertake the direction and supervision of the franchisor with the forbidden of transfer and license. Sub-franchise is the franchise in which the franchisor grants the franchise within the specific territory to the solo franchisee entitling to open stores in the authorized territory and sub-franchise to other investors. Considering the development of the franchisee, the sub-franchisee is actually the agent of the authorized territory who shall perform the obligations as the franchisor, including the raise of the franchisee in authorized territory and above all, the training to the franchisee, the operational direction, the logistics support and other obligations franchisor shall purvey. Therefore, the choice of proper sub-franchisee is crucial to the franchisor, which will affect the success of the franchise business in the authorized territory.
所谓直接特许是指特许人将特许经营权直接授予各个独立的被特许人,获得特许授权的被特许人按照特许经营合同约定开设店铺、从事经营活动,并接受特许人的指导、监督,特许人不得再行向他人转让或许可获得的特许经营权。所谓分特许是指特许人将特定区域内的特许经营权授予给单一被特许人,该被特许人除自己可以在授权区域内开设店铺外,还可以对其他投资人进行特许授权。从发展被特许人的关系上来说,分特许人实际上是特许人在授权地域内的代理人,他要对加盟商履行特许人的职责,除代行特许人在授权地域募集加盟者外,更重要的是要对加盟商进行培训,提供经营指导与物流保障,为加盟商提供特许人应尽的一切义务。因此,对于特许人,选择好分特许人是非常重要的,它关系到特许经营事业在授权区域内的成败。
With the vast territory in China, the franchisor can also divide the territory to different authorized territories to develop relevant sub-franchisee. The benefit is, it will not only reduce the amount of payment investors purchased for the franchise, but also will foster competition among the sub-franchisors in the given territories, in case of the impediment of the franchise business in the region of China due to the set-back of some sub-franchisor.
由于中国地域广阔,在销售特许权时,特许人也可以将中国地域预定划分为若干授权区域,在不同区域分别发展分特许人。这样做的好处是,不仅可以降低投资人购买特许权的费用,也可以使不同地域的分特许人形成竞争,更不至于因某一分特许人的不利,而影响整个中国地域特许经营事业的发展。
